Please read these Terms & Conditions ("Terms") carefully before using the OD-POS software application, mobile apps, and associated services operated by OD-POS Technologies ("we," "our," or "us").
1. Acceptance of Terms
By downloading, installing, registering for, or using the OD-POS application, you agree to be legally bound by these Terms. If you are entering into these Terms on behalf of a restaurant business or commercial entity, you represent that you possess the full legal authority to bind that entity.
2. License to Use the Application
Subject to your compliance with these Terms and active subscription standing, we grant you a non-exclusive, non-transferable, revocable license to install and execute OD-POS on your authorized Android smartphones, tablets, and smart POS terminals solely for internal restaurant billing and management operations.
3. Business Responsibility & Tax Compliance
OD-POS provides point-of-sale and calculation utilities (such as GST, VAT, and service charges) as configured by the restaurant administrator. You acknowledge and agree that:
- Your business is solely responsible for verifying the accuracy of tax rates, item pricing, and statutory invoice formatting applicable under your local jurisdiction.
- You are responsible for safeguarding your manager PIN codes, cashier logins, and device access.
4. Offline Operation & Cloud Synchronization
While OD-POS is architected to operate offline without uninterrupted local transaction handling, full multi-device synchronization and offsite cloud backups require periodic network connectivity. We are not liable for data discrepancies resulting from prolonged device disconnection, unauthorized hardware modifications, or device theft.
5. Subscription Fees & Cancellations
Subscription fees are billed on a recurring monthly or annual basis depending on your selected tier. You may cancel your subscription at any time prior to the next renewal billing date. Paid subscriptions are non-refundable for partial billing periods unless otherwise agreed in writing.
6. Intellectual Property
The OD-POS application, trademarks, logos, system architecture, database design, and visual assets are the exclusive intellectual property of OD-POS Technologies. You may not decompile, reverse-engineer, redistribute, or clone the software.
7. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall OD-POS Technologies or its officers be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, restaurant operational interruption, or data corruption.
8. Governing Law
These Terms shall be governed by and construed in accordance with applicable commercial and trade laws. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of competent arbitration courts.
